Business valuation is a process and a set of procedures used to estimate the economic value of an owner's interest in a business. Valuation is used by financial market participants to determine the price they are willing to pay or receive to affect a sale of a business.
A valuation is a scientific approach to establish a value for an entire or partial interest in a closely held business or professional practice, taking into account both quantitative and qualitative, tangible and intangible factors associated with the specific business being valued. This means that you can establish a starting point for negotiations if you are considering buying, selling or merging your business along with a multitude of other uses.
The same valuation tools are often used by valuation professionals to resolve disputes related to estate and gift taxation, divorce litigation, allocate business purchase price among business assets, establish a formula for estimating the value of partners' ownership interest for buy-sell agreements, and many other business and legal purposes such as in shareholders’ deadlock, divorce litigation and estate contest.
Before valuing a company, the valuator must know and understand the purpose of the valuation. There are four major reasons for valuing a business; tax, litigation, transaction and regulatory.
